The Threat

Dear Mr. Pramar,

It has come to our attention that you have been using the UN Global Compact name in unauthorized ways. In particular, it seems that you have created an Internet group from which you have been emailing people creating confusion about who is responsible for coordinating the Global Compact Local Network in India.

The UN Global Compact welcomes dialogue and alternative perspectives. However, the description of the group does not make sufficiently clear that you do not represent the Global Compact Society. Moreover, the communications you have been sending questioning the status of the Global Compact Society as the focal point for the Global Compact Network in India are not helpful to advancing the Global Compact in India. The Global Compact Society and Uddesh Kohli have our full support.

I therefore ask you to immediately cease and desist this use of the Global Compact name. If you do not stop using our name in this way creating confusion and undermining the Global Compact in India, we will be forced to take further action. Possible actions may include revoking your participant status, requesting assistance of the relevant Global Compact governmental authorities and/or instituting legal proceedings.

Dear Mr Kell,

I acknowledge the receipt of your mail containing your expression of faith in your friend Uddesh Kohli and your threat to ex-communicate the Global Gandhian Trusteeship and Corporate Responsibility Foundation because of my campaign to cleanse the Global Compact Society of the muck it has accumulated since its birth.

Before I go any further I would like to draw your attention to the Satyam episode. Weeks before the arrest of the Chairman which brought Satyam tottering to the brink of a mighty fall a London based organization handed out an award for best corporate governance to the company. When the Chairman was arrested and the Satyam bubble burst the award giver was left holding a hot potato. Incidently your friend Uddesh Kohli is a part of this group.

I am drawing your attention to this incident because I want to prepare you to face a similar situation in the not too distant future. You have given Kohli a clean chit but local investigations are not likely to allow him to go free of blame. Over the years your blue eyed boy has been manipulating the affairs of the Global Compact Society to serve his own petty interests. A Right To Information application filed against the GCS and Kohli will without doubt bring out many skeletons which will cause considerable embarrassment to the Global Compact and you personally.

Let me also point out here that I stand by all that I have written on the GCS. I have been looking after the Society office for almost six months. During this period I made it a point to study the functioning of the organisation and people involved. My information therefore is not an imagination of my mind. Instead of blowing hot and cold it would have helped the Compact to find out for itself the truth.

Those who have signed up for the UNGC Principles have done so with the strong expectation that persons holding high offices in the UNGC, like you, will live up to the Principles of the Compact and will treat all participants fairly. That every participant will receive the respect due to him as a participants and not be subjected to threats without proper investigation.

For a person holding the highest office in the Global Compact you seem rather fast and free in issuing threats without making proper enquiries. You have threatened legal and other action against me for the use of the name of Global Compact. Your mail says “I therefore ask you to immediately cease and desist this use of the Global Compact name.”

It is obvious that you have not visited my site. For your information my Google Group site is called Hamara Global Compact. It is a site which I have started and which I monitor and feed on a regular basis. The contents of this site include articles which are both informative and educative about the Global Compact and also ones that look at the GC with a critical eye, which you might term as alternative perspective. (http://groups.google.co.in/group/hamara-global.compact)

Nowhere have I said that I represent the Global Compact or the Global Compact Society or that I am speaking on their behalf. The description of the group reads: “This group is meant for all those who believe in the Ten Global Compact Principles. It is open to all members of the UN Global Compact and the Indian participating companies. Members of the Global Compact Society India are especially welcome.”

The site is open to all viewers. I am sure the GC does not hold a copyright on the use of the words Global and Compact to stop me from using these words in the name of my site

Though you claim that you are for dialogue and alternative perspective you are obviously not comfortable with dialogue and alternative perspectives which exposes the truth which can be embarrassing to you and your friends. The Global Compact Critics carry many such stories and also stories on how the Compact has tried to stifle alternative perspectives.

Your threat to revoke the membership status of the Global Gandhian Trusteeship Foundation is not going to give us sleepless nights. Nor is it going to alter our status and standing among those who believe in what we have been writing about the GCS and the role played by Kohli and others in bringing the Organisation into disrepute. Here I would like to state very categorically that I stand by every word I have written about the working of the GCS and the manipulations of its office bearers.

The Global Gandhian Trusteeship and Corporate Responsibility Foundation strongly believes in the Ten Principles. We believe in it not because it has been espoused by the Global Compact but because these are the principles which the Father of our Nation, Mahatma Gandhi, lived and worked for. I do not think one needs to be a part of the Global Compact to follow these principles nor does the GC hold a copyright or monopoly on them. In fact we and many others like us are really wondering what we have gained out of being a part of an association which is both gutless and toothless in fighting against assaults on all that the GC stands for.

It is not the stories I carry on my site which are causing confusion among people in India and obstructing the growth of the Global Compact in India. For this you need to thank Kohli and his cohorts in the Society and your own blind support for a group of people who are only interested in their personal agenda. The reason why the Global Compact in India has not made the type of progress you desire lies at the door of Uddesh Kohli. There are many in the GCS who feel that the GCS is nothing more than Kohli ke Dukan (Kohli’s shop) and that Kohli’s only interest in the Society is the opportunity it provides him to travel the Globe.

You do not hear open protest among the members because most of the organisations are Public Sector Units and the members who feel stifled cannot voice their views openly. Private Sector corporates unhappy with the Society feel it is better to withdraw from the Society rather than waste their time fighting Kohli and his group and their manipulative politics. Incidently today there are 188 organisations which have signed up for the principles hardly a handful want to join the Society for reasons mentioned in this note.

Instead of threatening me with dire consequences you need to take a long and deep look at the activities of your favoured Kohli. You need to ask him why many of the blue chip companies in India have withdrawn themselves from the GC and turned cool towards the GCS? You need also to ask him why the GC, which had almost 80 members four years ago, is today a Society of less than 30 members. Why has the GCS lost almost all the private corporate members over these years?

The answer lies in the fact that Kohli, whom you have anointed as the Focal Point and your points man in India, did nothing to help the deserting members retain their membership of the GC and the GCS. Many of the important PSUs like Air India, Bharat Petroleum, Hindustan Aeronautics, Miishra Dhatu Nigam, SAIL etc are not prepared to become members of the GCS because of the manipulation by Kohli and his cohorts and the overbearing presence of the ONGC.

This is also one reason why many of the private Corporates who had earlier joined the GCS have quietly withdrawn not only from the GCS but have become inactive

in the GC. Private corporates are unhappy of the manner in which Kohli has manipulated elections in 2005, 2007 and again this year to ensure that the same group retains power and influence.

I have already written to you about the manipulations in the elections for the 2009-11 team. Instead of making an independent enquiry you have deemed it fit to issue threats to me. Even at the risk of being subjected yet more threats I will take this opportunity to re state my observations about the elections. It will benefit you and others in the GC to read carefully the following:

An Election Scam

When it happened for the first time in 2005 it was passed off as an accident. In 2007 when it was repeated it was dismissed as a mere coincidence. Now that it has happened for the third time in a row it stinks of a scam, a deliberate attempt by a section of less than a handful of members to manipulate the election process to retain control of the Society.

Scam it is all the way. The entire election process for the election of the 2009-11 team has been manipulated to ensure that the Society remains in the control of the Kohli-ONGC network. From the stage of framing the election rules, through the appointment of the Returning officer and the inviting of nominations from a select group of members without informing members who could be a potential to end the hold of the existing group the entire process was manipulated.

1. Appointment of S.C Tripathi as Returning Officer is against the spirit of the provisions made in the Election Rules.

Section 5 of the Election Rules states: The Governing Council (GC) shall appoint an eminent person, who is not representing any member organization of the Society, as a Returning Officer to conduct and supervise the elections. SC.Tripathi may not be representing any organization at present but he has had close contacts with the ONGC and R.S.Sharma, as Secretary for Petroleum & Natural Gas before he retired from Government of India.

2. Election Rules were not notified to all members listed on the Society’s web site/membership register.

Those running the Society were aware of the impending elections for the 2009-11 team several months in advance. Despite this rules were framed as late as April 30, 2009. On the same day the Returning Officer, S.C.Tripathi, a retired IAS Officer who had served for several years as Secretary for Petroleum and Natural Gas, was selected. On May 6, 2009 the Returning Officer sent out notice to 39, of the 66 members listed on the Society web site, along with the Rules etc. These 39 organisations, it was made out, were the eligible voter organizations.

All 66 members listed on the web site/membership register are those who have paid Rs 25,000 (Corporates) and Rs 5,000 (NGOs/SMEs) as admission fee to buy a place in the society. As such they are members of the society and are therefore entitled to contest and vote for positions in the Society, once they have completed the eligibility requirements like clearing annual membership dues, complying with the requirements of the UNGC, like filing their CoPs etc. The Rule of eligibility etc should have been circulated among all members providing them sufficient time to comply with the various requirements.

I have since August 2008 been repeatedly writing to the Secretary and President for a copy of the Election Rules and names and contact Ids of nodal officers in the various member companies. In the two long letters I wrote to the President in January 2009 and there after in April 2009 I made this request again. On March 18, 2009 I sent an email to the present Secretary Satish Rao asking for the same information. I repeated this request on three occasions later. I have till date not received the information asked for. It is evident that the Kohli-ONGC nexus did not to want to give me an opportunity to offer myself as a candidate for any one of the posts on the Governing Council.

3. The List of Eligible Voter Organisations contains names of companies which have either been delisted by the UNGC, or declared to be inactive or are not even signatories to the Compact since their names do not appear in the UNGC list on the web site.

As mentioned earlier the GCS web site indicates that there are 66 members. The site also has a list of organizations which have been delisted by the UNGC. The list of delisted members contains 57 names. There is another list with names of another 12 organisations who have been declared as inactive by the UNGC. The main list of 66 members contains names of almost 24 companies which appear in the lists of delisted and inactive members and find no mention in the current UNGC list of members.

The Eligible Voters Organisations contains 39 names. This list includes names of about 12 companies which are on the delisted and inactive lists. It is obvious that since the Global Compact Society is the Local Network of the UNGC companies delisted or companies declared inactive by the UNGC are not members of the UNGC and they cannot claim membership of the local network or participate in the elections.

I would like to quote here the address of the first President of the GCS, one of the founding fathers of the Society and the then Chairman of the ONGC, Mr Subir Raha, on why the Global Compact Society was set up. The very first para of the Address says: “The Global Compact Society(GCS) was formed in November 2003 and registered in New Delhi as an all India forum for organizations participating in the UN’s Global Compact Programme.” It therefore follows that only those who are signatories to the GC and continue to be members can be members of the GCS. Those delisted or declared inactive by the GC would cease to be members of the GCS and should be denied all rights of membership.

The list of eligible voter organizations is therefore incorrect. The names of delisted and inactive members have been included only to create confusion among members. It has also been included to show an inflated figure of the actual membership of the Society. Whereas delisted and inactive companies have been given the right to vote organizations who are members who continue to be members of the UNGC were denied the right.

4. The list of eligible voter organizations does not provide the names of the nodal officials, their contact Ids or their email Ids so that members desirous of contesting the elections could contact the voters to seek their support. The existing team had a clear and unfair advantage over others since they were privy to the names and Ids of the nodal officers. This is how they have managed to retain their hold on the Society.

To be free and fair every member should have equal access and opportunity to all details about the eligible organizations and the officials seconded to represent the organization in the Society. In the case of the Society since organizations are members’ details such as names of nodal officials, their contact numbers, email Ids etc should have been made available to all. This was deliberately not done so as to provide the existing office bearers a clear and unfair advantage over others.

The GCS is the Local Network of the UNGC, a fact you have made clear in your mail to me. Networking is one of the objects of the Compact to ensure sharing of good practices, knowledge and information. Over the past six years the Society has not shared the data base containing the names of nodal officials and their contact Ids with its members.

One important reason why the same group has been retaining office after every election is because they retain the monopoly over contact information of the various organisations. Others who want to contest are put at a disadvantage because they lack these detail. In fact, like me, some other members have asked for these details over the past six months. None of them have received the information.

As on the past two occasions elections for the 2009-11 team have manipulated to ensure that the Kohli-ONGC nexus continues to control the Society for their selfish ends. The dominance of this group over the past six years has resulted in the growing unpopularity of the Society among existing members and among those who have joined the UNGC in recent years. Evidence of this is available on the Society’s web site.

While it claims to have a membership of 66 organisations at present it is interesting to note that there are another 69 organisations who were earlier members who are either on the delisted or inactive list. Even the list of 66 members contains names of as many as 24 organisations who are on the delisted or inactive list. In sum total the Society presently has just 42 members.

The past six years have clearly demonstrated that the Kohli-ONGC combine do not have either the capability or the willingness to make the Society a real representative Network in India. Your mail which the President read out at the start of the AGM on June 29, 2009 helped the manipulators to carry through the AGM without much controversy. It has also given Kohli a new lease of life.

Elections for the 2009-11 team of the Global Compact Society was anything but fair and free. It was manipulated, as were the earlier two elections, by a small group led by the so called Focal Point and Senior Advisor to the Global Compact.

But this is not the only instance of the manipulations by Kohli. The Global Compact Society is an association of organizations, business houses, civil society organistions. Organisations, not individuals. Organisations are elected to the various positions in the Executive Committee not individuals. These organizations later nominate their representatives (individuals) to fill these positions

When the Society was started in 2003 the ONGC (President), NTPC (Vice President), BHEL (Secretary), Indian Oil Corporation (Treasurer) and the Consultancy Development Centre (Member) were elected as the first members of the Executive Council. In the first list of office bearers for the membership of the Governing Body the following were made responsible for the five slots in the GC: Subir Raha, then CMD ONGC, President, Mr K.K.Sinha, Director HR, Vice President; Ajay K.Mitra, then Addl GM, HSE, BHEL, Secretary, V.K.Anand, Dy GM IOCL, Treasurer and Uddesh Kohli, then Chairman Consultancy Development Centre as a member.

When Subir Raha demitted office of the CMD ONGC the present CMD R.S Sharma stepped into his shoes. Likewise when K.K.Sinha left the NTPC he was replaced in the Society by Mr R.C.Shrivastava In the same manner when A.K.Mitra retired from BHEL, about six months ago, his place as Secretary was taken over by Satish Rao from the same ogranisation.

On the other hand when Kohli moved out of the Consultancy Development Centre he continued to retain his membership of the Governing Council even though he had joined a new organization, Construction Industry Development Council. Since the CDC was elected to fill the Member position the new representative should have come from the CDC.

Kohli had made it a point to insist that only representatives of the originally elected organization should fill the vacancies. This rule he threw over bard when his own position was threatened. In fact one of the originally elected organizations had wanted to renominate their earlier representative after he retired from the PSU. Kohli had insisted that it was technically incorrect.

I certain of my facts and am willing to fight for what I believe is right. So go ahead and carry out your threat. If the Global Gandhian Trusteeship and Corporate Responsibility Foundation is ex communicated from the GC for upholding what is right so be it. Your act will prove once again that you would rather support an organization or individual who you know is working against the principles than take steps to ensure that all, no matter what their position, follow the principles.
